Terms of Sale
1. Scope
These terms apply to all sales by Medimeter Trading FZE ("the Seller"), a company registered in the Umm Al Quwain Free Trade Zone, United Arab Emirates (trade licence No. 11533), to business customers ("the Buyer"). We sell to businesses only; these terms do not apply to consumers.
2. Orders and quotation
The minimum order quantity is 100 units per product. An order request submitted through this website or by email is not a binding offer from the Seller; it is treated as an enquiry. A sale is concluded once the Seller confirms the order.
3. Pricing and currency
The list price is USD 52.00 per unit, ex-works. A separate shipping line of USD 0.32 per unit is added to the invoice, on CPT (Carriage Paid To) Incoterms® 2020 terms — the Seller arranges and pays carriage to the agreed destination, but risk transfers to the Buyer on handover to the first carrier. Invoices are issued in USD or AED, at the Buyer's choice, converted at the UAE Dirham's fixed exchange rate to the US Dollar (1 USD = 3.6725 AED).
4. Payment
Payment is by bank transfer against an invoice issued by the Seller after the order is confirmed. The Buyer selects payment terms of Net 7, Net 30, or Net 60 days from the invoice date at the time of ordering. Goods remain the property of the Seller until payment is received in full.
5. Delivery
Goods are shipped upon order confirmation, ahead of payment, under the payment terms agreed in Clause 4. Delivery terms default to CPT (see Clause 3); a different Incoterm may be agreed per order and, if so, is stated on the invoice or order confirmation instead. Delivery dates are estimates unless expressly agreed as fixed in writing.
6. Buyer's compliance responsibility
The Buyer is responsible for confirming that the product may be lawfully imported, registered and sold in the destination market, including any medical device registration, import licence, or customs requirement that applies there. Where the destination is in the European Union, the Buyer must provide a valid EORI number for customs clearance; the Seller is not responsible for delays caused by a missing or invalid EORI number. The Seller supplies the product as a trading company and makes no representation as to its regulatory status outside the markets where the manufacturer's certifications are valid.
7. Inspection and claims
The Buyer should inspect goods on receipt. Claims for shortage, damage in transit, or non-conforming goods must be raised in writing within [adjust — e.g. 7 days] of delivery, with supporting evidence (photos, packing list, waybill). Claims raised after this period may not be accepted.
8. Warranty
Products are covered by the manufacturer's own warranty terms, where applicable. The Seller passes through the manufacturer's warranty and does not provide a separate warranty beyond it.
9. Force majeure
Neither party is liable for delay or failure to perform caused by events beyond its reasonable control, including acts of government, natural disaster, transport disruption, or supplier failure.
10. Governing law and disputes
These terms are governed by the laws applicable in the Umm Al Quwain Free Trade Zone and the United Arab Emirates. Disputes are subject to the jurisdiction of the Umm Al Quwain Courts.
