These terms apply to all sales by Medimeter Trading FZE ("the Seller"), a company registered in the Umm Al Quwain Free Trade Zone, United Arab Emirates (trade licence No. 11533), to business customers ("the Buyer"). We sell to businesses only; these terms do not apply to consumers.
The minimum order quantity is 100 units per product. An order request submitted through this website or by email is not a binding offer from the Seller; it is treated as an enquiry. A sale is concluded only once the Seller issues a written quotation or invoice and the Buyer accepts it.
Prices are quoted per order based on volume and destination, in AED unless otherwise agreed in writing. Quoted prices are valid for [adjust — e.g. 14 days] from the date of the quotation unless stated otherwise.
Payment is by bank transfer against an invoice issued by the Seller. Payment terms are [adjust — e.g. 100% in advance, or 30 days net] unless otherwise agreed in writing for a specific order. Goods remain the property of the Seller until payment is received in full.
Delivery terms (Incoterms) are agreed per order and stated on the invoice or order confirmation. Delivery dates are estimates unless expressly agreed as fixed in writing.
The Buyer is responsible for confirming that the product may be lawfully imported, registered and sold in the destination market, including any medical device registration, import licence, or customs requirement that applies there. The Seller supplies the product as a trading company and makes no representation as to its regulatory status outside the markets where the manufacturer's certifications are valid.
The Buyer should inspect goods on receipt. Claims for shortage, damage in transit, or non-conforming goods must be raised in writing within [adjust — e.g. 7 days] of delivery, with supporting evidence (photos, packing list, waybill). Claims raised after this period may not be accepted.
Products are covered by the manufacturer's own warranty terms, where applicable. The Seller passes through the manufacturer's warranty and does not provide a separate warranty beyond it.
Neither party is liable for delay or failure to perform caused by events beyond its reasonable control, including acts of government, natural disaster, transport disruption, or supplier failure.
These terms are governed by the laws applicable in the Umm Al Quwain Free Trade Zone and the United Arab Emirates. Disputes are subject to the jurisdiction of the Umm Al Quwain Courts.
